Business Partner Agreement

This Business Partner Agreement is entered into between Build-A-Deal, hereinafter referred to as the “Platform,” and ___________________, hereinafter referred to as the “Partner Business.”

By signing this Agreement, the Partner Business agrees to participate in the Platform’s membership program and abide by the following terms.

1. Program Overview

Build-A-Deal operates a membership-based service that connects members with promotional deals and discounts offered by participating local businesses.

Partner Businesses agree to provide promotional deals or offers that may be selected and redeemed by Build-A-Deal members according to the terms defined in this Agreement.

2. Participation Terms

The Partner Business agrees to provide the following deal or promotional offer to Platform members:

Conditions or Restrictions (if any): 

The Partner Business may update or modify the deal with reasonable notice to the Platform.

The Platform reserves the right to list the deal in its online catalog and display the business as a participating partner.

3. Redemption Limits

The Partner Business retains full control over the number of redemptions available each month.

Monthly Redemption Limit: 

Once the redemption limit is reached, Build-A-Deal will mark the deal as unavailable for additional member selection until the next membership cycle.

The Partner Business agrees to honor valid redemptions until the monthly redemption limit has been reached.

4. Deal Redemption Verification

Build-A-Deal members will present proof of membership (including Digitial Member ID or digital confirmation) when redeeming a deal.

The Partner Business agrees to verify membership and track redemptions according to the system provided by Build-A-Deal.

The Partner Business may refuse redemption if:

  • the monthly limit has been reached

  • the deal is expired

  • the member cannot verify valid membership

5. Promotion and Marketing Rights

The Partner Business grants Build-A-Deal permission to use the following for promotional purposes:

  • Business name

  • Logo

  • Business location

  • Deal description

  • Images of the business or products (if provided)

These materials may be used in:

  • the Platform website

  • marketing materials

  • social media promotions

  • email newsletters

  • advertising campaigns

Build-A-Deal agrees to represent the Partner Business accurately and professionally.

6. Liability Disclaimer

Build-A-Deal acts solely as a marketing and promotional intermediary.

The Partner Business acknowledges and agrees that Build-A-Deal is not responsible for:

  • customer service disputes between the Partner Business and customers

  • quality, safety, or legality of goods or services provided

  • fulfillment of services or products

  • business operations or policies

  • customer experiences at the Partner Business location

The Partner Business assumes full responsibility for all services, products, and interactions with customers.

7. Independent Business Status

The Partner Business operates as an independent entity.

Nothing in this Agreement creates:

  • a paid sponsorship

  • joint venture

  • employment relations

  • agency relationship

between Build-A-Deal and the Partner Business.

8. No Guarantee of Customer Volume

Build-A-Deal promotes Partner Businesses to its members but does not guarantee any specific number of customers, redemptions, or revenue.

Participation in the program does not guarantee increased sales or customer traffic.

9. Term and Termination

This Agreement will remain in effect until terminated by either party.

Either party may terminate this Agreement with written notice of at least 14 days.

Upon termination:

  • The Partner Business will be removed from the Build-A-Deal catalog.

  • Any previously selected deals by members may remain valid through the end of the current membership cycle unless otherwise agreed.

Build-A-Deal may terminate participation immediately if the Partner Business:

  • fails to honor valid deals

  • engages in fraudulent or deceptive practices

  • damages the reputation of the Platform

10. Modifications

Build-A-Deal reserves the right to update program policies or operational procedures with reasonable notice.

Material changes affecting the Partner Business will be communicated in advance.

11. Governing Law

This Agreement shall be governed by and interpreted according to the laws of the state in which the Platform is registered.

12. Deal Performance and Quality Standards

Build-A-Deal is committed to maintaining a positive experience for its members and participating businesses. To protect the quality and reputation of Build-A-Deal, all Partner Business deals are subject to periodic review.

Build-A-Deal reserves the right to evaluate deal performance based on factors including, but not limited to:

  • customer feedback

  • redemption experience

  • customer complaints

  • refusal to honor advertised deals

  • excessive restrictions not disclosed in the deal description

  • behavior that may negatively affect member trust or the Platform’s reputation

If a deal is determined to be underperforming or harmful to the member experience, Build-A-Deal may take one or more of the following actions:

  • request modifications to the deal terms

  • permanently remove the deal from the Platform

  • terminate the Partner Business participation in the program

Whenever possible, Build-A-Deal will attempt to notify the Partner Business and provide an opportunity to resolve the issue before removal or termination occurs.

The Partner Business agrees to cooperate in good faith to maintain a positive member experience and uphold the standards of the Platform.

13. Acceptance

By submitting below, both parties acknowledge and agree to the terms of this Business Partner Agreement.
